Terms of Service

1. Introduction

Welcome to MapleDrive.ca (the "Site" or "Platform"). MapleDrive is a brand operated by Keak AI, Inc. ("MapleDrive", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of the Site, including any landing pages, online forms, application funnels, text/SMS channels, advertisements, or other services connected to MapleDrive.

By accessing the Site, submitting an application, or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, you should not use the Platform or submit personal information through our forms.

Keak AI, Inc. operates MapleDrive and may use technology, analytics, optimization, hosting, data routing, and platform support services to provide and improve MapleDrive.

2. MapleDrive's Role

MapleDrive is a digital automotive finance lead-generation and matching platform.

Our current service is limited to:

• Creating and running advertising campaigns, including social media advertising
• Operating website funnels and application forms
• Collecting information submitted by consumers who are interested in vehicle financing
• Matching and routing submitted applications to selected automotive dealerships and related automotive finance partners across Canada
• Providing submitted application information to selected dealerships and related automotive finance partners as part of MapleDrive's paid lead-generation and matching service

MapleDrive is not a bank, lender, credit union, dealership, broker, vehicle seller, credit repair company, or credit reporting agency.

MapleDrive does not:

• Pull consumer credit reports
• Make credit decisions
• Approve or deny financing
• Sell, lease, inspect, deliver, or warrant vehicles
• Set interest rates, loan terms, or payment schedules
• Negotiate or finalize vehicle purchase, lease, or financing agreements
• Provide credit repair, credit rebuilding, debt settlement, or credit counselling services

All vehicle sales, financing discussions, credit checks, approvals, denials, contracts, payments, warranties, delivery issues, trade-ins, and related dealership communications are handled by the dealership or other third-party partner that receives your application.

3. Eligibility

By using the Platform or submitting an application, you confirm that:

• You are a resident of Canada
• You are old enough to enter into financing-related transactions in your province or territory
• You have the legal capacity to submit the information and request the services described on the Platform
• The information you provide is accurate, complete, and submitted by you or with proper authorization

Our services are not intended for children or individuals under the applicable age of majority in their province or territory.

4. Application Information

When you submit an application through the Platform, you may provide personal, contact, employment, income, vehicle preference, and financing-related information.

You agree that MapleDrive may collect, use, store, process, and disclose the information you submit for the purposes described in these Terms and in our Privacy Policy.

You understand that MapleDrive may share your submitted application information with selected dealerships or related automotive finance partners across Canada. These partners may contact you by phone, text message, email, or other communication methods regarding your vehicle financing request.

5. Credit Inquiry Authorization

MapleDrive does not pull consumer credit reports itself.

By submitting a vehicle financing application through the Platform, you understand and authorize selected dealerships or automotive finance partners that receive your application to obtain, review, and use credit-related information from consumer reporting agencies, including Equifax Canada and/or TransUnion Canada, where required to assess your financing request.

This may include:

• Soft credit inquiries, which are generally used for pre-qualification and typically do not affect your credit score
• Hard credit inquiries, which may be used when a dealership, lender, or finance partner is underwriting or finalizing a financing application

You understand that hard credit inquiries may be visible to other creditors and may affect your credit score.

Not every application will result in a credit inquiry. The type and timing of any credit inquiry depends on the dealership or partner, the financing process, and your consent.

MapleDrive may help facilitate the transfer of your application information to dealerships or partners, but MapleDrive does not control whether a dealership or partner performs a credit inquiry, approves financing, denies financing, sells a vehicle, records a call, or completes a transaction with you.

6. Communications and CASL

By providing your phone number, mobile number, email address, or other contact information, you agree that MapleDrive and selected dealerships or partners may contact you about your vehicle financing request.

These communications may include:

• Application follow-up
• Dealer contact regarding available vehicle or financing options
• Appointment or document requests
• Operational or transactional messages connected to your submitted request
• Marketing messages, where permitted by law and where consent has been obtained

MapleDrive does not use pre-recorded voice messages or automated telephone dialing systems as part of its current process.

Where required by Canada's Anti-Spam Legislation (CASL), MapleDrive will obtain consent before sending commercial electronic messages. Marketing messages will identify the sender and include a way to unsubscribe.

You can unsubscribe from MapleDrive marketing emails or text messages by using the unsubscribe instructions provided in the message or by contacting privacy@mapledrive.ca.

Unsubscribing from marketing communications may not stop operational or transactional messages related to an application you submitted or communications sent independently by a dealership or partner.

7. No Guarantee of Approval or Financing

MapleDrive does not guarantee that:

• You will be approved for financing
• You will receive any specific loan amount, interest rate, payment amount, term, or vehicle offer
• A dealership or partner will contact you
• A dealership or partner will approve your application
• A vehicle shown in an advertisement or on a website will be available
• Any financing option will be the lowest available rate or best available offer

All financing decisions are made by dealerships, lenders, or automotive finance partners, not by MapleDrive.

8. Dealerships and Third-Party Partners

Dealerships and partners are independent businesses. MapleDrive does not control their credit processes, call practices, privacy practices, financing terms, vehicle inventory, sales process, underwriting decisions, warranties, delivery obligations, or post-transfer handling of personal information.

Once your application information is transferred to a dealership or partner, that business is responsible for its own collection, use, storage, disclosure, and protection of your information under its own privacy policy and legal obligations.

Any vehicle purchase, lease, financing agreement, trade-in, deposit, warranty, insurance product, protection product, or other transaction is strictly between you and the applicable dealership, lender, or partner.

You should review all dealership or lender documents carefully before signing or agreeing to any transaction.

9. User Responsibilities

You agree that you will not:

• Submit false, inaccurate, misleading, incomplete, or fraudulent information
• Submit information on behalf of another person without proper authorization
• Use another person's name, phone number, email address, identity, employment information, or credit information without authorization
• Interfere with the security or operation of the Platform
• Attempt to scrape, copy, reverse engineer, overload, disrupt, or misuse the Platform
• Use the Platform for unlawful, fraudulent, abusive, or unauthorized purposes

MapleDrive may suspend, block, or restrict access to the Platform if we believe the Platform is being misused or if submitted information appears fraudulent, abusive, or unauthorized.

10. Intellectual Property

The Platform, including its design, text, graphics, logos, trademarks, forms, scripts, workflows, software, layouts, and other content, is owned by Keak AI, Inc. operating as MapleDrive, or its licensors.

You may use the Platform only for your personal, non-commercial purpose of submitting a legitimate vehicle financing request.

You may not copy, reproduce, distribute, sell, reverse engineer, modify, or exploit any part of the Platform without our prior written permission.

11. Privacy

Your use of the Platform is also governed by MapleDrive's Privacy Policy.

The Privacy Policy explains how MapleDrive collects, uses, discloses, stores, protects, and retains personal information, including how information may be shared with dealerships and other partners.

By using the Platform or submitting an application, you agree to the Privacy Policy.

12. Cookies, Pixels, and Analytics

MapleDrive may use cookies, pixels, analytics tools, and similar technologies to operate the Platform, measure advertising performance, understand website traffic, improve forms, and deliver or measure advertising, including through platforms such as Meta or Google.

Where required by law, including applicable Quebec privacy requirements, MapleDrive will provide required transparency and obtain consent for non-essential tracking, profiling, or advertising technologies.

MapleDrive may use submitted application information to route your request to appropriate dealerships or partners. This routing is used to help match your request with available vehicle financing options and does not mean MapleDrive makes credit decisions or financing decisions.

13. Third-Party Websites and Advertisements

The Platform or our advertisements may include links, references, or routing to third-party websites, including dealership websites, lender websites, social media platforms, or other external services.

MapleDrive is not responsible for the content, security, privacy practices, terms, advertising, products, services, or conduct of third-party websites or businesses.

Your use of third-party websites or services is governed by their own terms and policies.

14. Disclaimer of Warranties

To the extent permitted by applicable law, the Platform and MapleDrive's matching services are provided on an "as is" and "as available" basis.

MapleDrive does not warrant that:

• The Platform will always be available, uninterrupted, secure, or error-free
• The Platform will be free from viruses or harmful components
• Any information on the Platform will always be complete, current, or error-free
• A dealership or partner will contact you, approve you, or offer financing
• Any vehicle, rate, payment, or financing option will be available

Nothing in these Terms limits any rights you may have under applicable consumer protection laws that cannot legally be waived.

15. Limitation of Liability

To the extent permitted by applicable law, Keak AI, Inc. operating as MapleDrive, and its directors, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or economic damages arising from or related to:

• Your use of or inability to use the Platform
• Your submission of information through the Platform
• Any dealership or partner's actions, omissions, communications, credit decisions, financing terms, privacy practices, call practices, vehicle sales process, or transaction with you
• Any credit inquiry, approval, denial, rate, payment, contract, vehicle sale, lease, warranty, or product offered by a dealership, lender, or partner
• Unauthorized access to, alteration of, or loss of information, except where liability cannot be limited by law

To the extent permitted by applicable law, MapleDrive's total aggregate liability for any claim arising from or related to the Platform or these Terms will not exceed $100 CAD.

Some provinces or territories may not allow certain exclusions or limitations of liability. In those cases, the limitation will apply only to the maximum extent permitted by law.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Keak AI, Inc. operating as MapleDrive, and its directors, employees, contractors, affiliates, and agents from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your misuse of the Platform
• Your submission of false, inaccurate, fraudulent, unauthorized, or misleading information
• Your breach of these Terms
• Your violation of applicable law
• Your infringement of another person's rights, including privacy or intellectual property rights

17. Electronic Communications and Submissions

By using the Platform, you consent to receive notices and communications electronically where permitted by law.

You agree that submitting information through the Platform, clicking buttons, completing online forms, or otherwise interacting with the Platform may be used to evidence your consent, authorization, and agreement to these Terms, the Privacy Policy, and any consent language presented on or near the applicable form or submit button.

18. Governing Law and Provincial Rights

Except where the laws of your province or territory require otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Subject to mandatory consumer protection rights, you agree that any dispute involving MapleDrive will be handled by the courts located in Calgary, Alberta.

If you are a consumer residing in Quebec, your mandatory rights under Quebec law, including the Quebec Consumer Protection Act, remain protected. Any provision of these Terms that conflicts with mandatory Quebec consumer protection rights will be interpreted only to the extent permitted by law.

If you reside in another Canadian province or territory, any mandatory consumer protection rights that apply to you remain protected and are not waived by these Terms.

19. Changes to These Terms

MapleDrive may update these Terms from time to time to reflect changes to our business, technology, legal obligations, or Platform operations.

When we update these Terms, we will revise the "Last Updated" date. If we make material changes, we may provide additional notice, such as a website notice or direct communication where appropriate.

Your continued use of the Platform after updated Terms are posted means you accept the updated Terms, to the extent permitted by applicable law.

20. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be interpreted or limited to the minimum extent necessary, and the remaining parts will continue in effect.
